Welcome to CAREERFLIP ("we," "us," or "our"), a premier job board platform dedicated to connecting job seekers with meaningful career opportunities and empowering employers to find top talent. By accessing or using our website, located at www.careerflip.com.ng (the "Site"), or any associated services (collectively, the "Services"), you ("you," "User," or "Publisher") agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully, as they govern your use of our Services and outline your rights and responsibilities.

If you do not agree with these Terms, please do not access or use our Services. We reserve the right to update these Terms at any time, and it is your responsibility to review them periodically for changes. Your continued use of the Services constitutes acceptance of any updated Terms.

3. Use of Services

3.1 General Use

CAREERFLIP provides a platform for job seekers to browse and apply for job listings and for employers to post job opportunities. You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Use the Services in any way that violates applicable laws, regulations, or third-party rights;
• Engage in fraudulent, deceptive, or misleading activities;
• Attempt to bypass, modify, or interfere with the functionality of the Services, including security features;
• Use automated tools, bots, or scripts to access or interact with the Services without prior written approval from CAREERFLIP; or
• Post or transmit content that is illegal, harmful, defamatory, offensive, or otherwise prohibited under Section 4 (Content Guidelines).

3.2 Job Seeker Responsibilities

As a job seeker, you agree to:

• Submit accurate and truthful information in your profile, applications, and communications;
• Only apply for jobs for which you are qualified and genuinely interested; and
• Refrain from soliciting or engaging in direct communication with employers outside the platform unless expressly permitted.

3.3 Employer/Recruiter Responsibilities

As an employer or recruiter, you agree to:

• Post accurate, lawful, and non-discriminatory job listings;
• Comply with all applicable employment laws, including anti-discrimination and labor regulations;
• Respond promptly to job seeker inquiries through the platform; and
• Maintain the confidentiality of job seeker data in accordance with our Privacy Policy.

4. Content Guidelines

CAREERFLIP strives to maintain a safe, professional, and trustworthy platform. All content posted or shared on the Site, including job listings, user profiles, and communications, must comply with the following guidelines, which align with Google AdSense and Infolinks publisher policies:

4.1 Prohibited Content

You may not post, upload, or transmit content that:

• Is illegal, promotes illegal activities, or facilitates unlawful behavior (e.g., counterfeit goods, illegal drugs, or hacking tools);
• Contains harmful or derogatory material, including hate speech, violence, harassment, or discrimination against individuals or groups based on protected characteristics (e.g., race, gender, religion);
• Includes sexually explicit content, pornography, or material deemed inappropriate for a professional job board;
• Infringes on intellectual property rights, including copyrighted material, without proper authorization or attribution;
• Promotes or links to prohibited goods or services, such as tobacco, recreational drugs, or weapons;
• Contains misleading information, false claims, or deceptive practices, including phishing or misrepresentation of the publisher’s identity;
• Includes malicious software, such as viruses, ransomware, or spyware, that may harm users or their devices;
• Violates Google AdSense Publisher Policies, Infolinks Publisher Policies, or CAREERFLIP’s standards for family-safe and professional content.

4.2 Restricted Content

Certain content may be allowed but is subject to restrictions and may receive limited or no advertising from our ad partners (e.g., Google AdSense, Infolinks). This includes:

• Content related to sensitive topics (e.g., historical journals or factual discussions about restricted substances) that is purely informational and does not promote illegal activities;
• Content that complies with applicable laws but may not appeal to all advertisers, such as discussions of legal but regulated products.

If your content falls under restricted categories, you agree to use display conditions to prevent ads from appearing on such pages or to obtain prior approval from CAREERFLIP.

4.3 Intellectual Property

You represent and warrant that:

• You own or have the necessary licenses to post any content on CAREERFLIP;
• Your content does not infringe on the intellectual property rights of others; and
• If quoting or referencing third-party material, you will provide proper attribution and comply with copyright laws (e.g., DMCA).

5. Advertising and Monetization

CAREERFLIP monetizes its Services through third-party advertising networks, including Google AdSense and Infolinks. By using our Services, you agree to the following advertising-related terms, which are designed to comply with Google AdSense and Infolinks policies:

5.1 Ad Placement and Compliance

• No Artificial Clicks or Impressions: You may not click your own ads, encourage others to click ads, or use any method (e.g., bots, automated tools, or deceptive software) to artificially inflate ad clicks or impressions. This includes phrases like “click the ads,” “support us,” or similar language that solicits clicks.
• Proper Ad Formatting: Ads must be clearly distinguishable from other content. You may not:
  • Place ads in a way that mimics site content or makes them indistinguishable (e.g., formatting ads to look like job listings);
  • Use misleading labels (e.g., labeling ads as “Favorite Jobs” instead of “Sponsored Links” or “Advertisements”);
  • Place ads in floating box scripts, pop-ups, or pop-unders; or
  • Position ads near interactive elements (e.g., buttons, game controls) that may lead to accidental clicks.
• Prohibited Traffic Sources: Ads may not be displayed on pages receiving traffic from:
  • Paid-to-click, paid-to-surf, autosurf, or click-exchange programs;
  • Unsolicited mass emails or unwanted third-party advertisements;
  • Software applications (e.g., toolbars) that trigger pop-ups, redirect users, or modify browser settings without consent.
• Landing Page Quality: Pages displaying ads must comply with Google’s Landing Page Quality Guidelines, ensuring a positive user experience and transparency.

5.2 Privacy and Cookies

CAREERFLIP uses third-party advertising services that employ cookies and similar technologies to serve personalized ads based on user behavior (e.g., prior visits to our Site or other websites). As required by Google AdSense and applicable privacy laws (e.g., GDPR, CCPA), we:

• Maintain a comprehensive Privacy Policy and Cookie Policy that disclose:
  • The use of third-party cookies by Google, Infolinks, and other partners;
  • The types of data collected (e.g., IP addresses, browsing history, location);
  • The purposes of data collection (e.g., ad personalization); and

5.3 Invalid Activity

Any invalid activity, such as fraudulent clicks, impressions, or traffic, is strictly prohibited. CAREERFLIP and our advertising partners (e.g., Google, Infolinks) actively monitor for invalid activity using automated systems and human reviews. If invalid activity is detected, we may:

• Disable ad serving to your content;
• Suspend or terminate your account; and/or
• Withhold or adjust payments for invalid clicks or impressions.

6. Account Responsibilities

6.1 Registration and Accuracy

To use certain features of the Services (e.g., posting job listings or applying for jobs), you must create an account. You agree to:

• Provide accurate and complete information during registration;
• Maintain the security of your account credentials; and
• Update your contact and payment information as needed to ensure proper communication and payment processing.

6.2 Account Suspension or Termination

We reserve the right to suspend or terminate your account at our discretion, including for:

• Violation of these Terms or third-party advertising policies (e.g., Google AdSense, Infolinks);
• Suspected fraudulent or illegal activity;
• Failure to respond to communications from CAREERFLIP; or
• Inactivity for an extended period (e.g., two years without logging in or accepting payments).

If your account is suspended or terminated, you may lose access to the Services, and any unpaid earnings may be withheld or donated to a charitable organization, as permitted by applicable law.

7. Payments

7.1 Job Seeker Accounts

Job seekers do not incur fees for using the Services to browse or apply for jobs. However, certain premium features (e.g., profile enhancements) may require payment, subject to separate terms.

7.2 Employer/Recruiter Accounts

Employers and recruiters may be required to pay fees for posting job listings or accessing premium features. Payment terms, including pricing and billing cycles, will be provided at the time of purchase. You are responsible for any charges assessed by your bank or payment provider.

7.3 Ad Revenue (if applicable)

If you participate in any revenue-sharing programs with CAREERFLIP (e.g., through hosted content), payments will be made in accordance with our payment policies and subject to:

• Compliance with Google AdSense, Infolinks, and CAREERFLIP policies;
• Deductions for invalid clicks or impressions; and
• Offsets for any amounts owed to CAREERFLIP or our advertising partners.

Payments are processed on a monthly cycle, provided your account balance meets the minimum threshold. We do not guarantee ad impressions, clicks, or revenue.

8. Intellectual Property

CAREERFLIP and its associated logos, designs, and content are protected by copyright, trademark, and other intellectual property laws. You may not use our brand features (e.g., name, logo) without prior written permission. By posting content on the Site, you grant CAREERFLIP a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of providing the Services.

9. Limitation of Liability

To the fullest extent permitted by law, CAREERFLIP and its affiliates, officers, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, even if advised of the possibility of such damages. Our aggregate liability shall be limited to the amount paid by you to CAREERFLIP, if any, in the three months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless CAREERFLIP, its affiliates, and advertising partners (e.g., Google, Infolinks) from any claims, losses, or damages arising from:

• Your violation of these Terms or third-party advertising policies;
• Your content or use of the Services; or
• Your breach of applicable laws or third-party rights.

11. Termination

You may terminate your account at any time by contacting us at careerflipnow@gmail.com. We reserve the right to terminate or suspend your access to the Services at our discretion, with or without notice, for any reason, including violation of these Terms or third-party policies.

12. Governing Law and Dispute Resolution

14. Miscellaneous

• No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms at our discretion.
